3. Client Responsibilities

A) Unobstructed Access: The requirement for the customer to ensure that fire doors are accessible for inspection or maintenance.

B) Aborted Fee: A charge incurred when Emerald Compliance cannot complete the scheduled work due to lack of access or permissions not being obtained.

4. Reports and Findings

A) Inspection Report: A document provided by Emerald Compliance that outlines compliance issues, defects, and recommendations for fire doors.

B) Compliance Issues: Problems identified during inspection that indicate a failure to meet fire safety regulations.

C) Recommendations: Advisory suggestions provided to the customer based on inspection findings but not considered legal advice.

5. Pricing and Payment

A) GBP (£): The currency in which all fees and prices are stated.

B) CPI (Consumer Price Index): An inflation measure used to adjust pricing annually.

C) Payment Terms: Payment is required within 30 days of the invoice date unless otherwise agreed in writing.

D) BACS: A payment system for direct bank transfers.

6. Limitations of Liability

A) Reasonably Detectable: Issues that can be identified through a normal visual inspection without dismantling or specialized tools.

B) Corrective Actions: Repairs or adjustments recommended to address defects identified during an inspection.

C) Total Liability: The maximum amount Emerald Compliance will be responsible for, limited to the fees paid for the specific service.

7. Cancellations and Rescheduling

A) Cancellation Fee: A charge (e.g., 25% of the quoted service fee) for cancelling a scheduled service within a certain timeframe.

B) Quoted Service Fee: The agreed cost for the specific service outlined in the quotation.

8. Compliance with Laws

A) Fire Safety Laws: Regulations that businesses and customers must adhere to for fire door safety (e.g., local fire safety codes).

B) Applicable Legislation: Laws relevant to the customer’s premises and the services provided by Emerald Compliance.

9. Confidentiality

A) Confidential Information: Inspection reports and other communications intended only for the customer’s use.

B) Third Parties: Other individuals or entities that the customer may not share the inspection report with, unless legally required or with Emerald Compliance’s consent.

10. Governing Law and Dispute Resolution

A) Governing Law: The legal framework that applies to the Terms and Conditions (e.g., the laws of England and Wales).

B) Dispute Resolution: The process for resolving disagreements, including negotiation, mediation, arbitration, or court proceedings.

C) Arbitration Act 1996: A UK law governing arbitration procedures, which may be used to resolve disputes.

11. Orders

A) Order Acceptance: The process where Emerald Compliance confirms and agrees to a customer’s order.

B) Unavailability: Situations where products or services cannot be provided due to stock or operational issues.

C) Suspected Fraud: Concerns about fraudulent activity that may lead to an order being refused or cancelled.

12. Delivery

A) Risk of Loss: The responsibility for goods once they have been delivered to the customer.

B) Delivery Times: Estimated, non-guaranteed schedules for when goods will arrive.

13. Returns and Refunds

A) Faulty Products: Goods deemed defective by Emerald Compliance, which may qualify for a return or refund.

14. Warranties and Liability

A) Warranty: A guarantee that the product or service will meet the description provided at the time of purchase.

B) Indirect, Incidental, or Consequential Damages: Secondary or unforeseen damages that Emerald Compliance is not liable for under the Terms.

15. Privacy

A) Privacy Policy: A document explaining how Emerald Compliance handles personal data, ensuring compliance with data protection laws.

16. Intellectual Property

A) Intellectual Property: Ownership rights over content, trademarks, and materials created or owned by Emerald Compliance.

B) Unauthorized Use: Any use of Emerald Compliance’s intellectual property without prior permission.

1. Introduction

1.1 These Terms and Conditions (“Terms”) govern the relationship between Emerald Compliance (“we,” “our,” or “us”) and you (“the Customer”).

1.2 By placing an order or engaging with our services, whether in writing or verbally, you agree to these Terms.

2. Products and Services

2.1 We aim to provide accurate descriptions of all products and services; however, minor variations may occur.

2.2 All products and services are subject to availability. While we will endeavour to meet agreed timescales or KPIs, we reserve the right to modify or discontinue any product or service without notice. Failure to meet agreed timescales or KPIs will not constitute a breach of contract.

2.3 Our services include, but are not limited to, inspections, adjustments, servicing, maintenance, remedial work, and installation of fire doors.

2.4 All fire door services comply with applicable fire safety regulations, including but not limited to BS 9999 and BS 8214.

2.5 Inspections include a visual assessment of fire doors, hardware, ironmongery, seals, glazing, door frames, and other components as specified in our service agreement.

2.6 Inspections do not include repairs, maintenance, or adjustments unless agreed in writing or verbally requested during the visit.

2.7 Installation services include the dismantling of old doors or equipment and fitting new doors and associated equipment in compliance with industry standards. Removal or disposal of old equipment is not included unless explicitly agreed in writing.

2.8 Quotations for remedial works required for fire doors is as per the information provided by the client/contractor. Any additional work beyond the scope specified will be subject to further charges.

3. Customer Responsibilities

3.1 You must provide unobstructed access to fire doors and ensure a safe working environment for our team.

3.2 You are responsible for obtaining any necessary permissions for access to the premises and notifying us of these in writing prior to the scheduled visit. Failure to do so may result in an aborted visit fee, as specified by us.

3.3 Fire doors must be in a suitable condition for inspection.

3.4 You are responsible for addressing any remedial actions identified in our inspection report.

4. Reports and Findings

4.1 Following an inspection, we will provide a detailed report highlighting compliance issues, defects, and areas requiring attention.

4.2 Reports reflect the condition of fire doors at the time of inspection and do not guarantee future compliance.

4.3 Recommendations in the report are advisory and based on industry standards; they do not constitute legal advice.

5. Pricing and Payment

5.1 Prices are listed in GBP (£) and may be adjusted annually to reflect inflation and the Consumer Price Index (CPI).

5.2 We will issue an invoice either before or after the completion of services.

5.3 Payment is due within 30 days of the invoice date unless otherwise agreed in writing.

5.4 We accept payment via BACS or bank transfer.

6. Limitations of Liability

6.1 While we endeavour to identify all non-compliance issues, we are not liable for defects that were not reasonably detectable during the inspection.

6.2 We are not responsible for damages, delays, or losses resulting from the condition of fire doors or remedial actions taken by third parties following our report.

6.3 We are not liable for costs arising from corrective actions advised or undertaken by others after our services.

6.4 Our total liability for any claim arising out of our services is limited to the fees paid for the specific inspection.

7. Cancellations and Rescheduling

7.1 Cancellations or rescheduling requests must be made at least 7 days before the scheduled visit.

7.2 Late cancellations may incur a fee of 25% of the quoted service fee.

7.3 If goods are ordered and the cancellation is made after dispatch, you will be liable for the full costs as per the quotation.

8. Compliance with Laws

8.1 Both parties agree to comply with all applicable fire safety laws and regulations during the provision and use of our services.

8.2 You are responsible for ongoing compliance with fire safety legislation applicable to your premises.

9. Confidentiality

9.1 Inspection reports and related communications are confidential and intended solely for your use.

9.2 You must not share the report or its contents with third parties without our prior written consent, except where required by law.

10. Governing Law and Dispute Resolution

10.1 These Terms are governed by the laws of England and Wales.

10.2 Any disputes arising from these Terms shall first be resolved through negotiation or mediation. If unresolved, disputes may be referred to arbitration under the Arbitration Act 1996 or to a court of competent jurisdiction.

11. Orders

11.1 Orders are subject to acceptance by us.

11.2 We reserve the right to cancel or refuse any order due to unavailability, errors in pricing, unforeseen circumstances, or suspected fraud.

12. Delivery

12.1 Delivery times are estimates and not guaranteed. Delays may occur due to unforeseen circumstances.

12.2 Risk of loss or damage passes to the Customer upon delivery.

13. Returns and Refunds

13.1 Products cannot be returned unless deemed faulty by us.

14. Warranties and Liability

14.1 We warrant that products and services will conform to their description at the time of purchase.

14.2 We are not liable for indirect, incidental, or consequential damages, to the extent permitted by law.

15. Privacy

15.1 We handle personal data in accordance with our Privacy Policy.

16. Intellectual Property

16.1 All trademarks, content, and intellectual property are the exclusive property of Emerald Compliance.

16.2 Unauthorized use of our intellectual property is prohibited.

17. Amendments
